STATUTES

ARTICLE 1.

NAME OF THE ASSOCIATION: INTERNATIONAL ASSOCIATION OF ART CRITICS HEADQUARTER OF THE ASSOCIATION: Istanbul

ABRIDGED NAME: AICA TURKEY

OBJECTIVES AND ACTIVITIES OF THE ASSOCIATION

ARTICLE 2. OBJECTIVES Main objective of AICA Turkey is to bring together art, design and culture critics, writers, editors and curators who wish to develop international cooperation in the field of arts and culture. The aims of AICA Turkey are: a.to promote art, design and culture criticism and curatorship as a discipline and to contribute to its methodology; b.to protect the professional, ethical and legal interests of art critics and curators and cooperate in defending the rights of their members; c.to ensure a permanent liaison among art critics and curators on national, regional and international level by encouraging international meetings and to establish platforms to provide continuous international communication; d. to facilitate exchange of information in the field of arts and culture at an international level; e. to contribute to mutual understanding of cultures; f. to collaborate with art scenes of regional countries.

ARTICLE 3. THE ACTIVITIES The activities of the Association must concern 20th and 21st centuriesand as follows: a. to provide an archive of information for the international communication and to publish the information with electronic media and newsletters, books, brochures, catalogues, posters; b. to organize collogia, seminars, panels, congresses, travels ; c. to provide facilities and know-how for its members related to exhibitions and other cultural activities as well as publications ; d. to provide advisory assistance to its members and the public; e. to create permanent working groups, units and committees to realise projects, surveys and researches; f. to rise the awareness of the public on world wide art and culture and to promote art and culture related professions by kinds of activities written above.

THE STRUCTURE OF THE ASSOCIATION

ARTICLE 4. THE MEMBERS a. The Association is composed of International Members and Benefactor Members . b. In order to qualify for membership the candidate must give proof for the continued activity in arthistory, cultur, design, aesthetics, criticism or practice of 20th and 21st centuries. c. The activities of the International members may be in daily or periodical press, broadcasting or TV-video and electronic media for at least 3 years;publication of books, catalogues and magazines related to above mentioned subjects for at least 3 years;organisation of exhibitions that are principally non- commercial/non-profit for at least 4 years. d. The General Assembly on the recommendation of the Administrative Council may appoint honorary members who may have the attributes of the International Members and who have assisted the Association on local or international level or who have distinguished themselves in the service of art and culture. Benefactor Members may participate and advise the Administrative Council, but they have no right of vote.

ARTICLE 5. THE MEMBERSHIP a. All persons who are entitled to Republic of Turkey civil rights and who are not prevented by law and who have the qualifications outlined in the Statutes of the Association may be a candidate for membership. b. Foreign citizens may be members of the Association when they have the same rights and qualifications as outlined in the law of Republic of Turkey and they must have residence permit. For Benefactory members residence permit is not necessary. c. Candidates for International Membership may apply to the Association by Declaring in written form that they accept the Statutes of the Association and the mandatory payments. d. The candidate will be presented at least by two International Members and will be elected when 3/4 of the Administrative Council is present. e. The candidate may be a International Member with the absolute majority of the votes. f. The Administrative Council must declare its decision within 30 days; in case of indecision after 30 days the candidate becomes automatically a International Member.

ARTICLE 6. FORFEIT, EXPULSION AND DISSOLUTION OF MEMBERSHIP: Membership is forfeited a. by resignation b. by non-payment of membership fees for 2 years c. if expelled by the General Assembly on the recommendation of the Administrative Council for administrative or ethic reasons. Members who have breached the duties of the Statutes, who have acted against the aims, dignity and common interest of the Association and who disregard the regulations of the Sattues and decisions of the councils of the Association, who failed to fulfill the duties consigned by the Administrative Council and thus prevented the activities of the Association may be expelled if the Administrative Council resolves that the gravity of the deed warrants such a measure. The Administrative Council may issue a warning, censure or reprimand or expel the Member. However no sanction may be imposed without allowing the member concerned to present his/her case to the Administrative Council as well as to the General Assembly. Expelled members will not be allowed to have a second chance of Membership.

ARTICLE 7. THE ORGANS OF THE ASSOCIATION The Association is composed as follows: a. General Assembly b. Administrative Council c. Inspectory Council General Assembly and the Administrative Council may construct necessary units/comittees with special regulations.

ARTICLE 8. GENERAL ASSEMBLY a. All International Members with their votes are entitled to the General Assembly. b. All Members must proove International-payment of their fee before the General Assembly. c. General Assembly must be held every two years in January. d. General Assembly may convene an Extraordinary General Assembly with the demand of the Administrative Council or Inspectory Council and the written application of the 1/5 of its members.

ARTICLE 9. DUTIES AND AUTHORIZATION OF THE GENERAL ASSEMBLY The General Assembly a. elects the President, Vice President and members of the Administrative Council and the members of the Inspectory Council and ensures their reneval; b. discusses and determines the changes to be made in the Statutes when necessary; c. examines and approoves the activity reports of the Administrative and Inspectory Councils and other units and comittees; d. approves the accounts of the past and discusses and approves the budget of the coming year; e. considers matters on the agenda presented by the Administrative Council and the Benefactory Members; f. authorizes the Administrative Council in the administration of the movable and immovable goods of the Association; g. determines the Initial Fee and Yearly Fee of membership; h. determines the membership to international associations and institutions; i. carries out all the duties determined by the Statutes and Internal Regulations; j. determines the forfeit or the expulsion of the membership and dissolution of the Association.

ARTICLE 10. INVITATION TO THE GENERAL ASSEMBLY a. The Administrative Council declares the list of International Members entitled to the General Assembly. b. The Members will be invited to the General Assembly with a detailed announcement (date, hour, place, agenda of the Assembly) in a local newspaper at least 15 days before the Assembly. c. In case that this inviation failes to assemble the majority of the members, a second date after one week of the initial date will be declared in the same announcement. d. The same announcement with the date, hour and place of the meeting with a full list of members will be declared at least 15 days before to the official institutions. e. In case of postponement because of an inevitable reason the General Assembly will be made with a second similar announcement. f. After the postponement the General Assembly must be held within 2 months and wil be declared to the official institution. The General Assembly may not be postponed twice.

ARTICLE 11. PLACE OF THE ASSEMBLY The General Assembly must be held in the city of the Association in this case in Istanbul.

ARTICLE 12. VOTING a. The General Assembly will be held with the half of its International Members plus one member who are entitled to participate. b. When in the first assembly the necessary number of members is not reached, majority will not be requested in the second Assembly. However, the number of the members attending the second Assembly should not be two times less than the total number of the members of the Administrative and Inspectorial Councils. c. Voting is by secret ballot. Only members who have paid their fees have a right to vote.

ARTICLE 13. THE REGULATION OF THE ASSEMBLY a. The General Assembly will be held at the date and time and in the place as announced. b. The Members participate after they have signed the list. c. In case of postponement, the postponement will be documented and signed and the Assembly will be dissolved to be held within two months according to the Statutes. d. In case of the presence of the necessary number of the members the assembly will be opened by one of the members of the Administrative Council. e. The president, a vice president and a reporter will be elected for the Assembly Council. f. The Assembly will be administrated by the President. g. The Assembly Council prepares, signs and presents the document of the Assembly containing the outcome of the election, the agenda and all the other the decisions to the elected Administrative Council. h. The General Assembly only discusses, examines and decides about the issues declared in the agenda; however also may discuss and decides about the issues presented with the signature of1/10th of the members of the Assembly.

ARTICLE 14. QUORUM OF DECISION Quorum of decision in the General Assembly will be made by the majority of the votes. However the changes to be made in the Statutes and the dissolution of the Asssociation will be made with the 2/3 majority of the Assembly.

ARTICLE15. THE OFFICIAL ANNOUNCEMENT OF THE MEMBERS OF STRUCTURES OF THE ASSOCIATION Within 7 days after the General Assembly, all data, name, surname, fathers name, birth place and date, professions and adresses, about the members of the Administrative and the Inspectorial council as well as the members of the other units of the Association will be registered into the highest civil office of the city.

ARTICLE 16. MODIFICATION OF THE STATUTES a. The General Assembly can modify the articles of the Statue upon the proposal of the Administrative Council. b. The modification in the Statutes may be made by the 2/3 of the votes of the members of the Assembly. c. The modifications in the Statutes will be announced within 15 days after the general Assembly in a local newspaper and registered into the highest civil office.

ARTICLE 17. ADMINISTRATIVE COUNCIL a. The Administrative Council will be voted every two years by the members of the General Assembly. b. Members of the Administrative Council may be elected twice; however may only be elected for the third time after two years of interval.

ARTICLE 18. STRUCTURE OF THE ADMINISTRATIVE COUNCIL a. The Administrative Council consists of 7 Members and 5 Reserve Members. They are selected by secret ballot in the General Assembly. b. At its first meeting the Adminsitrative Council elects a President, one or more Vice-Presidents, a Secretery General, an Asistant to the Secretery General, a Treasurer and Unit/Comittee members. c. When a Member of the Administrative Council resigns or will be expelled, the Reserve Members will be called to duty according to the ratio of their votes.

ARTICLE 19. DUTIES OF THE MEMBERS OF THE ADMINISTRATIVE COUNCIL The duties are: -to represent the Association; -to authorize other members to represent the Association; -to be responsible of the overall and internal administration of the Association; -to be responsible of bookkeeping, accounting and budget; -to present reports on activities, administration, bookkeeping, accounting and the budget to the General Assembly; -to organize comittees, units to fulfill the aims and realize the activities of the Association and to determine and control their work; -to accomplish all the duties and requirements of the Statutes.

ARTICLE 20. QUORUM OF DECISION OF THE ADMINISTRATIVE COUNCIL a. The Adminsitrative Council meet with the half of the total number plus one more member of its members. b. The decisions will be made with the majority of the votes. c. In case of the equality votes the side with the President's vote makes the majority.

ARTICLE 21. INSPECTORIAL COUNCIL a. Inspectorial Council is elected by the General Assembly. b. Inspectorial Council has not less then 3 Members and 3 Reserve Members.

ARTICLE 22. DUTIES OF THE INSPECTORIAL COUNCIL a. The Inspectorial Council examines, studies the books of income and expenses the receipts and the other official documents and compares the decisions of the General Assembly with the expenses and prepares reports of at least every 6 months to be presented to the General Assembly. b. Inspectorial Council controls the Association according to the Statutes and to the laws of the Republic of Turkey and if it finds essential, prepares an Internal Regulation acoording to the articles of the Statutes.

FINANCIAL OVERSIGHT

ARTICLE 23. THE INCOME AND THE BANK ACCOUNTS OF THE ASSOCIATION The income of the Association consists of a. Initial Membership Fee is 100.000.000 TL b. Yearly Membership Fee is 120.000.000 TL c. Income provided by the publications, congresses, symposiýums, seminars, panels and scientific meetings as well as by receptions, dinners, concerts and competitions organized by the association within the objective of the Statutes; d. Income gained by the movable and immovable possesions of the association; e. Income provided by Bank interests and State funds and grants; f. Income provided by legal donations from sponsors, other associations, foundations; g. all legal grants received for special projects realized by the association; h. all legal resources authorized by law which the association may raise in exceptional cirsumstances. The amount of the Initial Membership Fee and Yearly Membership Fee and the form of payment will be determined in the General Assembly based on the proposal of the Administrative Council. The Income of the association will be kept in a Bank determined by the Administrative Council. The Bank transactions will be made with the signatures of the Treasurer and öne member appointed by the Administrative Council. The control of the income and funds, bookkeeping and accounting is the responsibility of the Treasurer elected by the Administrative Council Acceptance of the grants must be approved by the Administrative Council.

ARTICLE 24. MOVABLE AND IMMOVABLE PROPERTIES The Association may acquire and may claim the necessary movable and immovable goods to realise its aims within the limits as authorised by law. The Association may rent, sell or change these movable or immovable properties. The Association may accept all kinds of movable or immovable grants within the limits as authorised by law

ARTICLE 25. REGULATIONS OF INCOME AND EXPENSES a. All income of the Associaion will be collected with legal receipts and all expenses will be made with a legal receipt. b. The recepts will be kept for as many years as legally determined, when not for 5 years. c. The grant receipts should contain the identity and signature of the person who made the grant. d. The Administrative Council will elect the person/s who is entitled to collect grants.

ARTICLE 26. OFFICIAL BOOKS OF THE ASSOCIATION The Administrative Council keeps the books of the Association. The following books will be kept: a. Book of Decisions, b. Book of Registration of the Members, c. Book of Incoming and Outgoing Mail and Documents, d. Book of Income and Expenses, e. Book of Budget and Accounts, f. Book of Inventory g. Book of Receipts and Registrations. DISSOLUTION

ARTICLE 27. DISSOLUTION BY ITSELF The Association automatically dissolutes itself a.when it loses its objectives and position; b.when it loses its majority of members; c.when it failes to assemble the General Assembly twice; In this case the dissolution will be executed by the highest civil rights office of the city.

ARTICLE 28. DISSOLUTION BY THE GENERAL ASSEMBLY a. The General Assembly may decide about the dissolution of the Association. b. Decision for dissolution may be made when 2/3 of the members of the Assembly who are entitled to vote are present. c. When this majority is not achieved the dissolution will be discussed in the second Assembly as indicated in Article 13. d. The decision will be made by the 2/3 of the present members. e. The dissolution of the Association will be registered within 5 days to the highest civil office of the city. f. The General Assembly decides about to whom or to which institution the the movable and immovable posessions of the Association will be transferred. If this decision is not made by the Association, the possessions of the Association will be transferred autonatically to an association, to a foundation or to a university with an identical Statutes or goals.

ARTICLE 29. LEGAL PROCEDURE Cases not foreseen either in the Statutes or in the Regulations are settled in accordance with the legislation of The Republic of Turkey within the Legislation of Civil Rights and Associations.

ARTICLE 30. THE FOUNDERS OF THE ASSOCIATION
